Terms and Conditions
1. Introduction
These terms and conditions govern the membership of wwwAC, the Web Association of Canada (the “Association”) and constitute a binding agreement between the Association and each member (the "Member").
2. Membership Eligibility
Membership of the Association is open to individuals, students, companies, Academia and other entities that are interested in promoting and advancing the Canadian web industry and meet the criteria set out by the Association. The Association reserves the right to refuse membership applications without giving any reason.
3. Membership Fees
Membership fees are determined by the Association's Board of Directors and shall be payable annually in advance. Failure to pay the membership or renew the membership fees will result in the termination of membership. Such fees are listed in the MEMBERSHIP section of the Association website.
4. Termination of Membership
Membership may be terminated by resignation, expulsion or non-payment of membership fees. The Board of Directors of the Association shall have the authority to terminate the membership of any Member for cause, including but not limited to, breach of these terms and conditions or conduct prejudicial to the interests of the Association. Any terminated Member shall forfeit all membership fees paid.
5. Member Privileges
As a Member of the Association, the Member shall be entitled to:
- Access to member-only content on the Association's website;
- Participate in Association events, trainings and activities;
- Voting rights on matters presented to Members;
- Stand for election to the Association's Board of Directors.
6. Member Obligations
As a Member of the Association, the Member shall:
- Abide by these terms and conditions, the Association's bylaws, policies and procedures;
- Conduct themselves in a professional and ethical manner;
- Promote the objectives and interests of the Association;
- Maintain the confidentiality of any confidential information disclosed to them by the Association.
7. Intellectual Property
The Association retains ownership of all intellectual property created by the Association. Members shall not use any intellectual property of the Association without the Association's prior written consent.
8. Limitation of Liability
The Association shall not be liable to Members for any loss, damage, expense or claim arising out of or in connection with the membership, except in cases of gross negligence or wilful misconduct by the Association.
9. Amendment to Terms and Conditions
The Association may amend these terms and conditions at any time. Notice of such amendments shall be sent to Members by email.
10. Governing Law and Jurisdiction
These terms and conditions shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.
11. Entire Agreement
These terms and conditions, together with the Association's bylaws, policies and procedures, constitute the entire agreement between the Association and the Member, and supersede all prior agreements, understandings, negotiations and discussions, whether oral or written, between the parties.
